Abstract
The volume is structured in two parts with contributions coming from different backgrounds and diverse disciplinary perspectives. The first three chapters present the 30-year experience of workers’ buyouts in Italy, businesses in crisis or bankrupted that former employees buy and transform into cooperatives. To support the analysis, the study presents quantitative data on the overall evolution of workers’ buyouts with a special focus on Fenix Pharma case study. In the second part of the volume, two topics related to Corporate Governance studies and control systems are addressed. The first issue analyses the new provisions on remuneration policies with regards to the new Directive 2013/36/UE (c.d. CRD IV) while the second one focuses on the Management Control System for Occupational Health and Safety Risk, the mechanism to safeguard workers’ safety and health that is relevant to prevent crimes recalled by art. 25-septies of D.Lgs. 231/2001.
